Terms of Service

These Terms of Service ("Terms") govern your access to and use of the IndyPDF website at indypdf.com, your IndyPDF account, and the IndyPDF desktop application ("Software"). By using our services, you agree to these Terms.

1. Who we are

IndyPDF provides PDF editing software and related online services. References to "IndyPDF," "we," "us," or "our" mean the operator of the IndyPDF product and website.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account or purchase a license. By using our services, you represent that you meet this requirement and have authority to enter into these Terms.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at support@indypdf.com if you suspect unauthorized access.

4. License and software use

When you purchase an IndyPDF license, we grant you a limited, non-exclusive, non-transferable (except as described in our license policy), revocable license to install and use the Software on the number of devices permitted by your license tier.

You agree not to:

  • Reverse engineer, decompile, or attempt to derive source code except where permitted by law
  • Share, resell, or sublicense license keys except as expressly allowed
  • Use the Software to violate any law or third-party rights
  • Circumvent license validation, security, or usage limits
  • Use the Software to distribute malware or harmful content

A free trial may be offered with limited features or duration. Trial terms are described in the application and may change at any time.

5. Purchases and refunds

Prices are shown at checkout. Payments are processed by Stripe. By purchasing, you authorize us and our payment processor to charge your payment method.

Refund eligibility is described on our pricing page and at checkout. Unless otherwise stated, digital licenses may not be refundable once activated. Contact support@indypdf.com for billing questions.

6. Optional cloud and third-party services

The Software may offer optional integrations with Google Drive, Microsoft OneDrive, OCR providers, AI assistants, and other third-party services. Your use of those services is subject to the third party's terms and privacy policies. IndyPDF is not responsible for third-party services you choose to connect.

7. Your content

You retain ownership of documents and content you create or edit with IndyPDF. You are solely responsible for your content and for ensuring you have rights to process it. We do not claim ownership of your PDF files.

8. Intellectual property

IndyPDF, the IndyPDF logo, the website, and the Software (excluding your content) are owned by IndyPDF and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding except as needed to use the services as intended.

9. Disclaimers

THE SOFTWARE AND WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT PDF OUTPUT WILL MEET YOUR REQUIREMENTS.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INDYPDF AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SOFTWARE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Termination

We may suspend or terminate your account or access to the website if you violate these Terms or if required for legal or security reasons. You may stop using the services at any time. Sections that by their nature should survive termination (including disclaimers, limitation of liability, and governing law) will survive.

12. Changes

We may modify these Terms or the Software from time to time. Material changes will be posted on this page with an updated date. Continued use after changes constitutes acceptance. If you do not agree, stop using the services.

13. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in Delaware, unless applicable law requires otherwise.
